These Terms of Service (“Terms”) govern your access to and use of the website thewelayu.com and all related information, content, features, tools, products and services offered under the brand “Welayu” (the “Services”), operated by Auvaryn Commerce Private Limited. The Services are powered by Shopify.

This document is an electronic record generated by a computer system and does not require any physical or digital signature. It is published in accordance with the Information Technology Act, 2000, the rules made thereunder, the Consumer Protection Act, 2019 and the Consumer Protection (E-Commerce) Rules, 2020, and other applicable laws of India.

By accessing, browsing, or using the Services, creating an account, or placing an order, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, Refund & Cancellation Policy, Shipping & Delivery Policy, and Product Disclaimer, each of which is incorporated into these Terms by reference. If you create an account, you are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorised use. We are not liable for any loss arising from your failure to keep your credentials secure. We may suspend, restrict, or terminate your account at our discretion, including for suspected fraud, misuse, or breach of these Terms.

4. Products, descriptions and disclaimer

Welayu products are food/nutraceutical dietary supplements — not medicines. They are not intended to diagnose, treat, cure, or prevent any disease. Information on the Services is provided for general educational purposes and is not a substitute for professional medical advice. Please read the label and the Product Disclaimer, and consult a qualified healthcare professional before use if you are pregnant, nursing, under 18, taking medication, or managing a health condition.

We attempt to be as accurate as possible in describing our products, doses, ingredients, and pricing. However, we do not warrant that product descriptions, images, colours, or other content are accurate, complete, reliable, current, or error-free. Product images are for representation only and actual packaging may vary. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update information at any time without prior notice.

5. Pricing, taxes and payment

All prices are listed in Indian Rupees (₹) and, unless stated otherwise, are inclusive of applicable taxes. We accept UPI, credit/debit cards, RuPay, net banking, popular wallets (such as Paytm and PhonePe), and Cash on Delivery (COD) at serviceable pincodes. We reserve the right to change prices, offers, and product availability at any time without notice. In the event of a pricing or listing error, we may cancel the affected order and refund any amount already paid, even after an order confirmation has been issued.

6. Orders and acceptance

Your order constitutes an offer to purchase. Our acknowledgement or confirmation email confirms that we have received your order but does not by itself constitute acceptance. A binding contract is formed only when we dispatch the product(s) to you. We reserve the right, at our sole discretion, to accept, refuse, limit, or cancel any order — including for reasons such as suspected fraud, errors in pricing or availability, quantity limits, an unserviceable delivery address, or a breach of these Terms — and to refund any amount already paid.

7. Order changes and cancellation

You may request a change to your delivery address or cancel your order within 12 hours of placing it by contacting us. Once an order has been dispatched, it can no longer be changed or cancelled. Cancellations, returns, refunds, failed-delivery charges, and our satisfaction guarantee are governed by our Refund & Cancellation Policy, which forms part of these Terms.

8. Shipping and delivery

Shipping, delivery, tracking, re-attempts, and return-to-origin are governed by our Shipping & Delivery Policy, which forms part of these Terms. Delivery timelines are estimates only and are not guaranteed, as final delivery is carried out by third-party courier partners.

9. Intellectual property

All content on the Services — including the “Welayu” name, logo, trademarks, text, graphics, images, product designs, and the look and feel — is owned by or licensed to Auvaryn Commerce Private Limited and is protected under applicable intellectual property laws. You may not copy, reproduce, republish, distribute, modify, or create derivative works from any part of the Services without our prior written permission. Nothing in these Terms grants you any right or licence to our intellectual property.

10. User content

If you submit any content to the Services — such as reviews, comments, images, or claim-related media (including unboxing videos) — you grant Auvaryn Commerce Private Limited a non-exclusive, worldwide, royalty-free, transferable, irrevocable licence to use, reproduce, publish, adapt, and display that content in connection with the Services and our marketing. You represent that you own or have the rights to the content, that it is accurate, and that it does not infringe any third-party rights or violate any law. We may remove any user content at our discretion.

11. Acceptable use

You agree not to: (a) use the Services for any unlawful, fraudulent, or unauthorised purpose; (b) attempt to gain unauthorised access to the Services, other accounts, or our systems; (c) introduce viruses, malware, or harmful code; (d) interfere with or disrupt the Services; (e) scrape, harvest, or collect data from the Services without permission; or (f) infringe our or any third party’s rights. We may investigate and take appropriate legal action against any violation.

The Services rely on and may link to third-party services (including Shopify, payment gateways, and courier partners) and third-party websites. We do not control and are not responsible for the content, policies, or practices of any third party. Your use of third-party services may be subject to their own terms and policies.

To the maximum extent permitted by law, the Services and products are provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. 14. Limitation of liability

To the maximum extent permitted by applicable law, Auvaryn Commerce Private Limited, its directors, officers, employees, affiliates, and partners shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of (or inability to use) the Services or products, whether based in contract, tort, or otherwise, even if advised of the possibility of such damages. Our total aggregate liability for any claim arising out of or relating to an order shall not exceed the amount actually paid by you for that order. Nothing in these Terms limits liability that cannot be limited under applicable law.

You agree to indemnify, defend, and hold harmless Auvaryn Commerce Private Limited, its directors, officers, employees, affiliates, and partners from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or connected with: (a) your breach of these Terms or any policy incorporated by reference; (b) your misuse of the Services; (c) your violation of any law or third-party right; or (d) any content you submit.

16. Force majeure

We shall not be liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, natural disasters, epidemics or pandemics, government action or restrictions, strikes, courier or logistics disruptions, internet or payment-gateway failures, war, or civil unrest.

We may suspend or terminate your access to the Services, or cancel any order, at any time and at our discretion, with or without notice, including for breach of these Terms. Provisions that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnification, and governing law — shall survive.

We may amend, modify, or update these Terms at any time at our sole discretion. The revised Terms will be posted on this page with an updated “Last updated” date and will be effective immediately upon posting. Your continued use of the Services after any change constitutes your acceptance of the revised Terms.

19. Governing law and dispute resolution

These Terms and any dispute arising out of or in connection with them or the Services shall be governed by and construed in accordance with the laws of India. Subject to any right you may have under applicable consumer-protection law, the courts at New Delhi, Delhi, India shall have exclusive jurisdiction. The parties shall first attempt to resolve any dispute amicably; failing which, the dispute may be referred to arbitration by a sole arbitrator appointed by the Company under the Arbitration and Conciliation Act, 1996, seated at New Delhi, conducted in English.

20. Miscellaneous

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect. Our failure to enforce any right or provision shall not be a waiver of that right. These Terms, together with the policies incorporated by reference, constitute the entire agreement between you and us regarding the Services. We may assign our rights and obligations under these Terms; you may not assign yours without our consent. Headings are for convenience only.
